BUYER LINKAGE & OFFTAKE (OPTIONAL)

This Schedule forms an optional part of the Contract Inoculation Agreement (CIA) between Crown MycoResin Biotech Inc. (“Service Provider”) and the Client. It is intended to facilitate market access and offtake agreements for agarwood products derived from trees inoculated under the CIA.

1. PURPOSE

1.1 To provide the Client with preliminary market linkage for agarwood products.
1.2 To outline a framework for optional offtake arrangements without constituting a binding guarantee of sale or price.
1.3 To protect the Service Provider from market volatility and buyer default while facilitating trusted channel introductions.

2. SCOPE OF SERVICES

2.1 Buyer Network Access

  • Crown MycoResin Biotech Inc. may introduce the Client to:
    • Domestic wholesale buyers
    • Regional exporters
    • Perfumery, incense, or wellness product manufacturers

2.2 Offtake Facilitation

  • Service Provider may assist with:
    • Pre-sale negotiations
    • Documentation and standard contracts
    • Logistics coordination (optional)

2.3 Advisory on Product Grading & Packaging

  • Guidance on appropriate resin grading (chips, blocks, crude oil)
  • Packaging recommendations for quality preservation

3. TERMS OF OFFTAKE (IF AGREED)

3.1 Non-Binding Introduction

  • Buyer linkage is non-exclusive and does not constitute a guarantee of purchase.
  • Final sale agreements are negotiated directly between the Client and Buyer.

3.2 Pricing & Payment

  • Prices and payment terms are determined by the buyer.
  • Crown MycoResin Biotech Inc. may provide advisory pricing ranges based on prior market experience.

3.3 Quality Standards

  • Buyers may impose grading standards; failure to meet these standards may affect sale price or acceptance.

4. CLIENT RESPONSIBILITIES

  • Provide accurate harvest data and product condition
  • Maintain agreed quality and grading standards
  • Arrange local transport to buyer unless otherwise agreed
  • Ensure all necessary permits and regulatory compliance are met

5. SERVICE PROVIDER RESPONSIBILITIES

  • Facilitate introductions to verified buyers
  • Provide advisory on product preparation and packaging
  • Share market trends and pricing benchmarks

Note: The Service Provider does not purchase product directly unless a separate purchase agreement is executed.

6. CONFIDENTIALITY & NON-CIRCUMVENTION

6.1 Buyer information provided by Service Provider is confidential.
6.2 Client shall not bypass Service Provider to directly engage buyers introduced under this Schedule for unrelated or prior crops, unless expressly agreed in writing.
6.3 Breach of non-circumvention constitutes a material breach of the Agreement.

7. LIABILITY DISCLAIMER

  • Crown MycoResin Biotech Inc. is not liable for buyer default, price fluctuation, or non-acceptance of harvested product.
  • All market risks remain with the Client.

8. OPTIONAL ADDITIONAL SERVICES

If mutually agreed, the Service Provider may provide:

  • On-site harvest verification for buyer confidence
  • Export documentation assistance
  • Marketing material preparation

Fees for these services shall be quoted separately.

9. TERMINATION

  • This Schedule is optional and may be terminated independently by either Party with 30 days written notice.
  • Termination does not affect Revenue Share obligations (Schedule E) for products already sold or in process.
